Corporate governance is about the relationship between the company, its directors and its shareholders; it determines how authority and accountability are distributed throughout the company and sets the framework within which we meet our objectives.

Corporate Governance Statement

Scottish Power plc is committed to the highest standards of corporate governance. The Corporate Governance statement from our current Annual Report and Accounts describes how the company meets this commitment.

NYSE Corporate Governance Rules

The New York Stock Exchange issues corporate governance rules for its listed companies. Scottish Power plc, as a foreign issuer, is exempt from a number of the requirements and may adopt different standards that reflect home country practice. A summary of how the practices adopted by the company differ from the NYSE rules can be found in the Corporate Governance statement.

Remuneration Report

The Remuneration Report from our current Annual Report and Accounts outlines how the company meets this commitment.

Schedule of Matters

The Board adopted the current Schedule of Matters reserved to it for decision in January 2004 and this was amended in May 2005. This document limits the decisions which can be taken by management in certain key areas as summarised in the attachment.

Code of Ethics

In compliance with the Sarbanes-Oxley Act of 2002, the company has adopted a Code of Ethics for the Chief Executive, Finance Director and principal accounting officers.
