A circular to ScottishPower shareholders relating to the proposed merger with PacifiCorp and a circular to ScottishPower shareholders concerning the proposed scheme of arrangement to establish a new holding company for the ScottishPower group are being sent to shareholders from today.

Listing Particulars relating to the admission of shares in the new holding company are being published today and will be available for inspection at the Company Announcements office of the Stock Exchange, London, at the office of Freshfields, 65 Fleet Street, London and at ScottishPower's registered office, 1 Atlantic Quay, Glasgow.

Shareholder meetings of ScottishPower to approve the proposals referred to above will be held on 15 June l999.

A Proxy Solicitation and Registration statement has been filed with the US Securities and Exchange Council and is being posted to PacifiCorp shareholders today.
